Terms of Service

By accessing or using the idego.ai website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, and clients of idego.ai. Additional terms may apply to specific engagements and will be outlined in a separate project agreement or statement of work.

idego.ai provides AI-native application development services, including but not limited to web application development, mobile application development, internal tool development, AI product development, API integrations, and legacy system modernization.

The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate project agreement or statement of work agreed upon by both parties before work begins.

Upon full payment, all code, designs, and deliverables produced during a client engagement are owned by the client. idego.ai retains no proprietary rights to client-specific work product.

idego.ai retains ownership of its internal tools, processes, frameworks, and any pre-existing intellectual property used in the delivery of services. Where pre-existing IP is incorporated into client deliverables, the client receives a perpetual, non-exclusive license to use it.

The idego.ai name, logo, website content, and branding are the property of idego.ai and may not be used without written permission.

All projects are priced on a fixed-fee basis as outlined in the project agreement. Payment schedules, milestones, and due dates will be specified in the project agreement.

Late payments may be subject to a reasonable late fee as specified in the project agreement. idego.ai reserves the right to pause work on any project with overdue payments until the balance is settled.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes, but is not limited to, business plans, technical specifications, user data, trade secrets, and financial information.

Confidentiality obligations survive the termination of any engagement. Where additional confidentiality protections are required, a separate non-disclosure agreement (NDA) may be executed.

To the maximum extent permitted by law, idego.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, including but not limited to loss of profits, data, or business opportunities.

idego.ai's total aggregate liability for any claims arising out of an engagement shall not exceed the total fees paid by the client for that specific engagement.

idego.ai warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond this, services are provided "as is" without any other warranties, express or implied.

The idego.ai website and its content are provided for informational purposes. We make no guarantees regarding the accuracy, completeness, or timeliness of information on the site.

Either party may terminate an engagement in accordance with the terms of the project agreement. In the absence of specific termination provisions, either party may terminate with 14 days' written notice.

Upon termination, the client is responsible for payment of all work completed up to the date of termination. idego.ai will deliver all work product completed to that point.

These terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the appropriate courts as agreed upon by both parties.

We may update these Terms of Service from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
